Non-Executive Director

Appointment as a Non-Executive Director to your Board

What is the difference between an executive and non-executive director?

There is no legal distinction in the responsibilities of executive and non-executive directors under Irish company law, therefore their legal obligations are the same. The non-executive director’s role can be seen as balancing that of the executive director, so as to ensure that the Board, as a whole, functions effectively.

What is the role of a non-executive director?

Non-executive directors are usually chosen because they have a breadth of experience, specific skills and can bring specialist knowledge to the Board. Of greatest importance is their independence from management of the company and any of its interested parties. Non-executive directors take responsibility for monitoring the performance of management, especially with regard to progress made towards meeting the company’s strategic objectives.

There are a number of benefits to appointing a non-executive director to your Board:

Independence – Non-executive directors can strengthen a Board by offering independent expert counsel and advice, and by acting as a constructive critic in relation to the strategic direction of the company.

Impartiality – Because they are not heavily involved in the day-to-day running of the company, non-executive directors can see issues in their totality and from a broad perspective.

Wide Experience – Non-executive directors are generally very experienced and it is that experience which enables them to bring a fresh and diverse perspective to Board discussions and decision-making.

Specialist Skills – Non-executive directors are often appointed for the specialist knowledge and skills which they can bring to a Board. It is important that all Board appointments are made based on the skill needs of the Board.

Contacts – Non-executive directors often have a wide number of contacts and can provide a bridge to potential investors or stakeholders.

“Working with Paul is an experience that I will always look upon as being a game changer. He listened foremost and helped me identify the challenges I was having with my business and business style. Paul’s style of mentoring isn’t the usual methodical procedure driven straight from the textbook approach. He helped me discover my own style and strengths and built on those. Paul is engaged with my business 110% and is always available to advise no matter how big or small the issue. Paul was recommended to me at a time when I had to make some tough business decisions about how to move my business forward. It was 2009 and we were feeling the full force of the recession. I have continued to work with Paul since that date and in that period my business has grown 85%. And with Paul’s help we are more focused and have a strong strategy for future growth. As a business owner I believe every business owner should have an advisor, mentor, coach, call them what you want, but if you want somebody who really understands business growth and personal development don’t go past Paul Davis.”
